Beta Program Agreement & NDA

1. Beta Program Acknowledgment

By accepting this Beta Program Agreement ("Agreement"), you acknowledge and agree that QuoteSheet ("Software") is currently in a beta testing phase. The Software is a pre-release version that is still under active development and has not been fully tested or validated for commercial release.

The beta program is provided free of charge for a limited time. This free access period will continue until the Software is deemed ready for full public release. Upon public release, the Software will transition to a paid subscription model with monthly and yearly pricing plans. Beta Testers will receive advance notice before this transition occurs (see Section 8 for details).

As a beta tester ("Beta Tester"), you understand that the Software may contain defects, errors, bugs, incomplete features, and other issues that could cause system failures, data inaccuracies, or unexpected behavior. You are using the Software at your own risk during this beta period.

2. Confidentiality and Non-Disclosure (NDA)

As a Beta Tester, you will have access to confidential and proprietary information ("Confidential Information") that includes, but is not limited to:

• The Software's features, functionality, user interface, and design
• Unreleased features, planned improvements, and product roadmap details
• Pricing models, subscription structures, and business strategies
• Technical architecture, algorithms, and implementation details
• Any communications, documentation, or materials shared during the beta program
• The existence and terms of this beta program itself

You agree to:

• Keep all Confidential Information strictly confidential and not disclose it to any third party
• Not share screenshots, recordings, or descriptions of the Software's features with anyone outside your company
• Not publicly discuss, review, or post about the Software on social media, forums, or review sites during the beta period
• Use Confidential Information solely for the purpose of testing and evaluating the Software
• Promptly notify HVAC Quote Pro LLC of any unauthorized disclosure of Confidential Information
• Return or destroy all Confidential Information upon termination of the beta program if requested

This confidentiality obligation survives the termination of this Agreement and the beta program for a period of two (2) years from the date of disclosure.

3. Known Risks and Limitations

You acknowledge and accept the following risks associated with using beta software:

• Bugs and Errors: The Software may contain bugs that cause incorrect calculations, data display errors, or unexpected behavior. Always verify quote pricing and financing calculations independently.
• Data Loss: While we take reasonable precautions, data loss or corruption may occur. You should maintain independent records of critical business data.
• Downtime: The Software may experience unplanned downtime, service interruptions, or performance issues without advance notice.
• Feature Changes: Features may be added, modified, or removed at any time during the beta period without prior notice.
• Data Resets: In rare cases, we may need to reset data or make database changes that affect your stored information. We will provide as much advance notice as reasonably possible.
• Calculation Accuracy: Quote pricing, financing calculations, tax computations, and margin calculations are provided as estimates and may contain errors. You are solely responsible for verifying all numbers before presenting them to customers.
• AI Feature Limitations: AI-powered features are experimental and may produce inaccurate, incomplete, or misleading information.

4. Beta Tester Responsibilities

As a Beta Tester, you agree to:

• Report any bugs, errors, or issues you encounter through designated channels
• Provide honest and constructive feedback about the Software's functionality and usability
• Verify all quote pricing, financing terms, and calculations before presenting to customers
• Maintain backup records of important business data outside the Software
• Inform your customers that quotes are generated using software that is still in development, if applicable to your business practices
• Comply with all applicable laws and regulations in your use of the Software
• Not use the beta status as an excuse to provide inaccurate information to customers

5. Feedback and Intellectual Property

By participating in the beta program, you agree that:

• Any feedback, suggestions, bug reports, feature requests, or ideas you provide ("Feedback") may be used by HVAC Quote Pro LLC without restriction or compensation
• HVAC Quote Pro LLC owns all rights to any improvements, modifications, or new features developed based on your Feedback
• You will not claim any ownership or intellectual property rights over the Software or any improvements made based on your Feedback
• Feedback may be shared with our development team and used to improve the Software for all users

6. No Warranty — "As Is" Beta Software

THE SOFTWARE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS DURING THE BETA PERIOD. TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• We make NO WARRANTIES, express or implied, regarding the Software's fitness for any particular purpose, reliability, accuracy, or availability
• We do not guarantee that the Software will meet your business requirements or expectations
• We do not guarantee the accuracy of any quote calculations, pricing formulas, financing estimates, or AI-generated content
• We do not guarantee uninterrupted or error-free operation of the Software
• We do not guarantee that defects or bugs will be corrected within any specific timeframe

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• HVAC Quote Pro LLC shall have ZERO LIABILITY for any damages, losses, or costs arising from your use of the beta Software, including but not limited to lost profits, lost business, data loss, or damage to business reputation
• HVAC Quote Pro LLC is not liable for any errors in quotes, pricing, financing calculations, or AI outputs that you present to customers
• HVAC Quote Pro LLC is not liable for any customer disputes, complaints, or legal claims arising from quotes generated using the beta Software
• You agree to hold HVAC Quote Pro LLC harmless from any and all claims related to your use of the beta Software
• In no event shall HVAC Quote Pro LLC's total aggregate liability exceed the amount you have paid (if any) for use of the Software during the beta period

8. Beta Pricing and Transition

The beta program is entirely free of charge. You will not be billed, invoiced, or charged any fees for access to the Software during the beta period. This free access is provided for a limited time while the Software is under active development and testing.

Upon full public release, the Software will transition to a paid subscription model offering both monthly and yearly pricing plans. At that time:

• We will provide at least 30 days' written notice before the beta program ends and paid subscriptions begin
• Beta Testers will be offered the opportunity to transition to a paid monthly or yearly subscription plan at commercially available rates
• There is no obligation to subscribe or continue using the Software after the beta period ends
• If you choose not to subscribe, you will be given a reasonable period (minimum 30 days) to export your data before your account is deactivated

9. Term and Termination

This Agreement is effective from the date you accept it and continues until the beta program ends or is terminated.

• HVAC Quote Pro LLC may end the beta program or terminate your participation at any time, with or without cause, by providing reasonable notice
• You may withdraw from the beta program at any time by contacting us
• Upon termination, you will be given a reasonable period (minimum 30 days) to export your data
• Confidentiality obligations (Section 2) survive termination for two years
• Limitation of liability (Section 7) and intellectual property provisions (Section 5) survive termination indefinitely

10. Indemnification

You agree to indemnify, defend, and hold harmless HVAC Quote Pro LLC, its owners, officers, employees, and agents from any and all claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

• Your use of the beta Software
• Your breach of this Agreement, including any unauthorized disclosure of Confidential Information
• Quotes, pricing, or representations you make to customers using the Software
• Any violation of applicable laws or regulations in connection with your use of the Software

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the United States. Any disputes arising under this Agreement shall first be addressed through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration. Either party may seek injunctive relief in courts of competent jurisdiction for breaches of confidentiality obligations.

12. Entire Agreement

This Beta Program Agreement, together with our Terms of Service, Privacy Policy, and End User License Agreement, constitutes the entire agreement between you and HVAC Quote Pro LLC regarding your participation in the beta program. In the event of any conflict between this Agreement and the other documents, this Agreement shall take precedence with respect to beta-specific terms.
