1. Acceptance of Terms

By accessing and using QuoteSheet ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms apply to all users of the Service, including contractors, business owners, and end customers viewing quotes. Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference and available at https://quote-sheet.com/privacy.

2. Description of Service

QuoteSheet is a web-based application that enables HVAC contractors to:

• Create and manage professional HVAC equipment quotes
• Configure equipment catalogs and pricing tiers
• Set up financing terms and calculations
• Generate PDF quotes for customers
• Share quotes with customers via secure links
• Manage company settings and user accounts

3. User Accounts and Registration

To use the Service, you must have an account created by a system administrator. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account
• Ensuring all information provided is accurate and up-to-date

4. Acceptable Use

You agree NOT to:

• Use the Service for any unlawful purpose or in violation of any regulations
• Attempt to gain unauthorized access to any portion of the Service
• Interfere with or disrupt the Service or servers/networks connected to the Service
• Upload or transmit viruses, malware, or any other malicious code
• Impersonate any person or entity or misrepresent your affiliation
• Share your account credentials with unauthorized individuals
• Use automated systems to access the Service without permission

5. Software License and Restrictions

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during your active subscription period.

You may NOT:

• Copy, modify, distribute, sell, or lease any part of the Service or its software
• Reverse engineer, decompile, or disassemble the Service or attempt to extract source code
• Sublicense, resell, or provide the Service to third parties as a standalone offering
• Remove, alter, or obscure any proprietary notices, labels, or marks on the Service
• Use the Service to develop a competing product or service
• Access the Service for benchmarking or competitive analysis purposes
• Exceed the usage limits of your subscription plan or circumvent any technical limitations

This license automatically terminates if you violate any of these restrictions or if your subscription ends. Upon termination, you must cease all use of the Service.

6. Data and Content Ownership

Your Data: You retain all ownership rights to the data you enter into the Service, including customer information, equipment specifications, pricing, and quotes. We claim no intellectual property rights over your content.

Our Rights: QuoteSheet and its original content, features, and functionality are owned by HVAC Quote Pro LLC and are protected by international copyright, trademark, and other intellectual property laws.

6a. State Privacy Law Compliance

We are committed to complying with applicable state privacy laws. Depending on where you or your customers are located, additional rights may apply, including:

• California (CCPA/CPRA): California residents may have rights to access, delete, or opt out of the sale of personal information. We do not sell personal information.
• Colorado, Virginia, Connecticut, and other state privacy laws: Similar rights may apply to residents of these states.

7. AI-Powered Features

QuoteSheet includes AI-powered features such as the Contractor AI Helper and Customer Chat Assistant. By using these features, you acknowledge and agree that:

• No Guarantee of Accuracy: AI-generated responses are provided for informational purposes only. They may contain errors, inaccuracies, or outdated information. You are solely responsible for verifying all AI-generated content before relying on it or presenting it to customers.
• Not Professional Advice: AI responses do not constitute professional engineering, legal, financial, or technical advice. Always consult qualified professionals for critical decisions.
• Third-Party Processing: AI features are powered by third-party providers (OpenAI, Anthropic, Google). Your interactions with AI features may be processed by these providers in accordance with their respective terms and privacy policies.
• Usage Limits: AI features may be subject to usage limits based on your subscription plan. We reserve the right to throttle or restrict AI usage to ensure fair access for all users.
• Content Responsibility: You are responsible for any content you generate using AI features and how you use or distribute that content. We disclaim all liability for decisions made based on AI outputs.
• Service Availability: AI features depend on third-party services and may be temporarily unavailable, degraded, or discontinued without notice.

8. Financing Disclaimers

Important: QuoteSheet provides tools to display financing options and calculate payment estimates. However:

• We are NOT a lender and do not provide financing
• All financing is subject to credit approval by third-party lenders
• You are responsible for ensuring all financing terms and disclaimers comply with applicable laws
• Displayed monthly payments are estimates only and may not reflect final approved terms
• You must ensure all financing disclosures meet federal and state requirements (Truth in Lending Act, etc.)

9. Payment and Subscription

Subscription fees are billed according to your selected plan. You agree to:

• Provide accurate and complete billing information
• Pay all fees when due
• Update payment information promptly if it changes

We reserve the right to suspend or terminate access to the Service for non-payment.

If a payment fails, we will notify you by email and retry the charge up to 3 times over 7 days. If payment is not successfully collected within 7 days of the first failed attempt, your account may be suspended. Access will be restored promptly upon successful payment. You are responsible for any taxes, levies, or duties applicable to your subscription, excluding taxes on HVAC Quote Pro LLC's net income.

9.1 Cancellation and Refund Policy

You may cancel your subscription at any time from your account settings. Upon cancellation:

• Your subscription will remain active until the end of the current billing period
• You will continue to have full access to all plan features until the billing period ends
• No partial or prorated refunds will be issued for unused time within a billing period
• After the billing period ends, your account will revert to a limited access state and your data will be retained for 90 days
• Annual subscriptions are non-refundable once the billing period has begun, except where required by applicable law

If you believe you were charged in error, contact us at support@quote-sheet.com within 30 days of the charge and we will review your case. We reserve the right to issue refunds or credits at our sole discretion.

We may change subscription pricing with at least 30 days' prior notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind
• We do not guarantee the Service will be uninterrupted, secure, or error-free
• We are not liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid for the Service in the past 12 months
• We are not responsible for errors in quotes, pricing calculations, or financing estimates
• You are solely responsible for verifying all information in quotes before presenting to customers

11. Indemnification

You agree to indemnify and hold harmless HVAC Quote Pro LLC, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Data Backup and Security

While we implement reasonable security measures and perform regular backups, you are responsible for maintaining your own backup copies of critical data. We are not liable for any data loss, corruption, or unauthorized access despite our best efforts to protect your information.

13. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination:

• Your right to use the Service will cease immediately
• We will provide a 90-day window following termination during which you may export your data via the account dashboard. After this window closes, we cannot guarantee data recovery.
• Your data will be retained for 90 days following termination or account deactivation, after which it may be permanently deleted. You are responsible for exporting your data before this period expires.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or in-app notification. Continued use of the Service after changes constitutes acceptance of the modified Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to conflict of law provisions. You agree that any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Pickaway County, Ohio, and you hereby consent to personal jurisdiction in such courts.

15a. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY - IT AFFECTS YOUR LEGAL RIGHTS.

Informal Resolution First: Before filing any formal legal claim, you agree to contact us at support@quote-sheet.com and attempt to resolve the dispute informally for at least 30 days.

Binding Arbitration: If the dispute is not resolved informally, you and HVAC Quote Pro LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved exclusively through final and binding arbitration, rather than in court, except that either party may bring an individual claim in small claims court if it qualifies.

The arbitration shall be conducted by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will be conducted in Pickaway County, Ohio, or by telephone/video at either party's election.

CLASS ACTION WAIVER: YOU AND HVAC QUOTE PRO LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. If this class action waiver is found unenforceable, the entire arbitration clause shall be null and void.

Exceptions: Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent infringement of intellectual property rights.
