End User License Agreement

1. Agreement to Terms

This End User License Agreement ("EULA") is a legal agreement between you ("User") and HVAC Quote Pro LLC ("Licensor"). By creating an account, accessing, or using QuoteSheet ("Software"), you agree to be bound by this EULA. If you do not agree, you may not use the Software.

2. License Grant

Subject to your compliance with this EULA and payment of applicable subscription fees, we grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Access and use the Software via web browser for your internal business operations
  • Create, manage, and share HVAC equipment quotes with your customers
  • Use AI-powered features within the usage limits of your subscription plan
  • Store and manage your equipment catalog, pricing, and customer data within the Software

This license is granted on a per-company basis. All authorized users within your company may access the Software under your subscription, subject to user limits defined by your plan.

3. License Restrictions

You shall NOT:

  • Copy, reproduce, distribute, or create derivative works of the Software
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code
  • Sell, sublicense, lease, rent, or lend the Software or access to it
  • Use the Software to build a competing product or service
  • Remove or alter any proprietary notices, trademarks, or branding
  • Share account credentials with unauthorized individuals or entities
  • Circumvent technical limitations, usage caps, or security measures
  • Use automated scripts, bots, or crawlers to access the Software
  • Transfer your license or account to another party without written consent

4. Intellectual Property

Ownership: QuoteSheet, including all software, designs, algorithms, documentation, and trademarks, is the exclusive property of HVAC Quote Pro LLC. This EULA does not transfer any ownership rights to you.

Your Content: You retain all ownership rights to the data you enter, including customer information, equipment catalogs, pricing, and generated quotes. We claim no intellectual property rights over your content.

Feedback: Any suggestions, ideas, or feedback you provide about the Software may be used by us without obligation or compensation to you.

5. Subscription and Payment

  • Access to the Software requires an active subscription
  • Subscription plans (Beta, Basic, Pro, Enterprise) have different feature sets, usage limits, and pricing
  • Fees are billed monthly or annually as selected during registration
  • Failure to pay may result in suspension or termination of access
  • Refunds are handled in accordance with our refund policy
  • We reserve the right to modify pricing with 30 days' notice

6. AI Features and Third-Party Services

The Software incorporates AI-powered features using third-party providers:

  • OpenAI (OpenAI, L.L.C.)
  • Anthropic (Anthropic, PBC)
  • Google Gemini (Google LLC)

By using AI features, you acknowledge:

  • AI outputs are not guaranteed to be accurate, complete, or current
  • You are solely responsible for verifying AI-generated content before use
  • AI features do not constitute professional advice
  • Your AI interactions may be processed by third-party providers per their terms
  • AI features may be subject to usage limits, temporary unavailability, or discontinuation
  • We are not liable for any decisions, actions, or losses based on AI outputs

7. Data Processing and Privacy

  • We process your data in accordance with our Privacy Policy
  • Your data is stored in secure, encrypted databases with multi-tenant isolation
  • We use industry-standard security measures including bcrypt password hashing, HTTPS encryption, and role-based access controls
  • We do not sell your data to third parties
  • Email communications are processed through SendGrid (Twilio Inc.)
  • You are responsible for obtaining appropriate consent before entering customer personal data into the Software

8. Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Merchantability or fitness for a particular purpose
  • Accuracy or reliability of quote calculations, pricing, or financing estimates
  • Uninterrupted, timely, or error-free operation
  • Compatibility with all devices, browsers, or operating systems
  • Accuracy of AI-generated content or recommendations

You acknowledge that HVAC equipment pricing, financing terms, and calculations may contain errors and you are solely responsible for verifying all information before presenting to customers.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Our total aggregate liability shall not exceed the fees you paid in the 12 months preceding the claim
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages
  • We are not liable for loss of data, revenue, profits, or business opportunities
  • We are not liable for errors in quotes, pricing, financing calculations, or AI outputs
  • We are not liable for actions taken by third-party service providers
  • These limitations apply regardless of the legal theory (contract, tort, negligence, or otherwise)

10. Indemnification

You agree to indemnify, defend, and hold harmless HVAC Quote Pro LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

  • Your use or misuse of the Software
  • Your violation of this EULA or applicable laws
  • Your customer interactions, quotes, or business dealings facilitated through the Software
  • Claims by your customers related to quotes, pricing, or financing terms you provided
  • Your infringement of any third-party intellectual property rights

11. Termination

This EULA is effective until terminated.

We may terminate or suspend your license immediately if:

  • You breach any term of this EULA
  • You fail to pay subscription fees
  • Your use poses a security risk to the Software or other users

Upon termination:

  • Your right to use the Software ceases immediately
  • We will provide reasonable opportunity (30 days) to export your data
  • We may delete your data after the export period
  • Sections 4, 8, 9, 10, and 13 survive termination

12. Updates and Modifications

  • We may update the Software at any time without prior notice
  • Updates may add, modify, or remove features
  • We may modify this EULA with 30 days' notice via email or in-app notification
  • Continued use after modifications constitutes acceptance of the updated EULA
  • If you disagree with changes, your sole remedy is to terminate your subscription

13. Governing Law and Dispute Resolution

This EULA is governed by the laws of the United States. Any disputes arising under this EULA shall be resolved through:

  1. Good faith negotiation between the parties
  2. If negotiation fails, binding arbitration in accordance with applicable rules
  3. Either party may seek injunctive relief in courts of competent jurisdiction for intellectual property disputes

14. Severability

If any provision of this EULA is found to be unenforceable, the remaining provisions shall continue in full force and effect.

15. Entire Agreement

This EULA, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and HVAC Quote Pro LLC regarding the Software.
